WCC Board Meeting of 11/28/98

Present: Prof. Naranhkiri Tith, Sokhom Taing, PekThov Tan, Sambath Ouk and Setthivuth Oung
Invited Guests: Daravuth Seng, Vonnie Hong, and Mabbeskal Man.
Sokhom Taing, Setthivuth Oung and Mabbeskal Man joined in via conference call.

The meeting started at noon and lasted until 1:50PM, and the Board unanimously adopted the following:

1/- Amendment of Bylaws:
Any amendments related to the purpose of this corporation and terms in office as specified below should be adopted by 3Ž4 majority vote of all Board of Directors and approved by 2/3 majority of members in all chapters. Proxy votes are only acceptable for members but directors have to personally cast their vote during the meeting. Per last year Boardıs decision, both Chairman of the Board and President of the Executive Committee can only serve up to two two-year terms. They should at least step down for two years before they could serve again.

The Board also approved suggestions to limit a/- board membership to eight years with one-quarter renewal every two years and b/- chapter presidents to a maximum tenure of two two-year terms (maximum of 4 years).

2/- Application from areas not represented:
Applicants who cannot offer two recommendations as required by current process should be temporarily accepted for a one year trial period. The Chairman of the Membership Expansion should notify them of his intention to recommend or not recommend them for full membership 60 days prior to their expiration dates. If the applicants cannot provide satisfactory answers to his concerns, the President of the Membership Expansion should bring their case to the Board. The applicants should then request a Board Member to represent them and provide pertinent supports for that Board member to defend them. On the other hands, any applicants who could get two recommendations within 6 months should be accepted.

3/- Resignation:
Members who would like to leave the organization should tender their resignation letters to chapter presidents who will forward them to the Board for final approval.

4/- Recognition:
The following personalities are to be recognized for their outstanding services for Cambodia and WCC: a/- The Honorable Benjamin Gilman, Gerald Salomon, Doug Bereuter, Dana Rohrabacher, Dan Burton, John Porter and Chris Smith, all Members of the Congress, and their key staff Al Santoli, Bob Becker and Paul Berkowitz for passage of HR 533; b/- The Honorable Jesse Helms and Mitch McConnell, Members of the Senate and their staff Jim Doran for introduction of SR 309; c/- Kantol Khek for creation and maintenance of WCC website; and d/- Lanny Kong for volunteering in Mr. Gilmanıs successful reelection campaign..

5/- Consolidation of WCC:
a/- Reinstate the Terms of Section 6, Article 6 of WCC Bylaws that states that the Chairperson of the Board of Directors shall be the Chief Executive Officer (CEO) of the corporation, therefore rescinding last year Board decision to temporarily confer that title to the president of the executive committee who should be the Chief Operating Officer (COO) of WCC.

b/- Resignation of the President of the Executive Committee and the Vice Chairman of the Board: Mr. Tan who served as CEO since WCC inception in 1994 ­ chairman between 1994 and 1997 and president of the executive committee since last year - offered his resignation as required by WCC statute of termıs limitation. However, the Board did not accept it because that statute did not have retroactive effect and voted him to stay on at least until the end of this term. Vice Chairman Taing also offered his resignation to the Board to indicate his willingness to give room to more dynamic member to better serve the organization. The Board did not accept it either and asked him to serve with Prof. Naranhkiri Tith to guarantee continuity and diversity of WCC.
